Please note: We are currently in a Resolution Event (please refer to our Investor Terms for more information). At the conclusion of the Resolution Event, Growth Street will aim to cease business activities and wind down its operations. We will not be conducting any further lending activities, or accepting any new investors or deposits from existing investors.   1. The Growth Street products and companies
    1. The Growth Street group of companies offers three main products:
      1. The “Growth Street Marketplace” is a peer-to-peer platform which facilitates investors earning a return by lending to UK businesses.
      2. “GrowthLine” is a secured working capital facility which is funded by investors on the Growth Street Marketplace.
      3. “Insights” is our free cash flow forecasting tool.  If you are a GrowthLine customer, you will automatically have access to the Insights service.
    2. Our products are developed, provided and administered by four companies working closely together. When we talk about “Growth Street” we are referring to these companies:
      1. Growth Street Limited (company no. 09264172) is our main operating company.
      2. Growth Street Exchange Limited (company no. 09495712) operates the Growth Street Marketplace. Growth Street Exchange Limited is authorised and regulated by the Financial Conduct Authority (FRN 739318).
      3. Growth Street Provision Limited (company no. 09495633) operates our Loan Loss Provision which is a fund operated on a discretionary basis and may be used to protect investors on the Growth Street Marketplace if a borrower defaults.
      4. Growth Street Holdings Limited (company no. 09419286) is a holding company for the group, it doesn’t itself provide any services.

    4. All the Growth Street companies operate exclusively in the UK, so these Terms are governed by the laws of England and Wales and any dispute between us will be dealt with in the courts of England and Wales.
  2. How and when these terms apply
    1. These Terms apply to your use of any of the websites and products provided by Growth Street.  If you have any questions or don’t agree with anything in these Terms, you should stop using the websites and/or products and get in touch with us.
    2. As our business evolves and we launch new products, we may make changes to these Terms and/or to the way we operate. If any changes we make are significant or if a change negatively affects your rights, we will notify you of the change in advance by emailing you at the email address registered on your account.
    3. Additional terms may also apply to your use of our products. For example, if you become a GrowthLine customer, you will also be asked to agree to terms and conditions in relation to the loan facility you are offered.
    4. By accessing or using our websites or products, you agree to be bound by these Terms together with our Privacy Policy (as amended from time to time), which sets out how we collect and use personal data and how we use cookies.
    5. When you open a Growth Street ISA account, you will be brought to a website that is operated by Goji Financial Services Limited (company no. 10234133) (‘Goji’). Any investments through this website will be facilitated by Goji. By using the Goji website, you confirm that you have read, understood and agree to the terms and conditions set out in the Investor Terms and Goji’s Privacy Policy (as amended from time to time). If you do not agree to the terms, you must stop using the Goji website immediately.
  3. Providing information to Growth Street
    1. To offer the best service possible, we need to have the most up-to-date and accurate information about our customers.  If you register with us and/or use any of our products, the information you provide must be correct and you must let us know immediately if any information changes.
    2. You must not use or access any Growth Street account which is not in your name unless we have agreed that you are authorised to do so. This might be the case if, for example, you have a Power of Attorney or in the case of a company, if a director has given you authorisation.
    3. If you are providing us with any personal information about yourself, or in the case of a company, about your directors, you should refer to our Privacy Policy for details of how we will use that information, including if and when we conduct ID and/or credit checks.
    4. If you are in breach of these terms or if we suspect your account is being misused by you or someone else, we have the right to disable your account and/or restrict your access to our products.
    5. If you are a GrowthLine or Insights customer, you may be asked to link your accounting software and/or your online banking platform to our system to allow us to see and analyse real-time information about your business. By linking either or both your accounting software or online banking platform to our system, you will be giving us access to all the information included in that account. If you are not comfortable with sharing your information in this way, you should not do so.
    6. Subject to clause 3.7, we agree to keep all information provided in accordance with clause 3.5 confidential and to use it only for the purpose of providing our products to you.
    7. We may use your information, together with information provided by other Growth Street customers, to identify and analyse trends and produce valuable insights for ourselves and for our customers. We may share our analysis with other individuals or businesses (including you) but we will always do so without providing any identifying information.
  4. Reliance on our websites and products
    1. Our website and products should be available for you to use whenever you need them but if something goes wrong, such as our website being temporarily unavailable, we will not be responsible for any loss you suffer as a result.
    2. Any analysis, recommendations or information provided on or through our websites and products is not intended to be, or replace, professional financial advice. You should not rely on the information provided to make significant decisions about your personal finances or your business without taking further advice.
    3. Like any company, we cannot guarantee our websites and products will always be 100% secure and free from bugs or viruses, but keeping our system and your information safe is a top priority that we continually assess. If we become aware of any security breaches or concerns which might affect you or your data, we will let you know as soon as possible.
    4. To help us keep our system safe, we ask that you keep your login details, password(s) and account number(s) confidential and that you don’t disclose them to any third party. You should inform us immediately by e-mail and/or telephone if you know or suspect that any of your account information or password(s) are being misused so that we can take immediate action.
    5. Our websites may contain links or references to third party websites and these are provided for your information and convenience only. We have no control over these websites and we are not responsible for any content, material or information contained in them.
    6. We will not be liable to you for any loss or damage resulting from you using or relying on any content or services provided on our websites or through our products, except where your loss is a direct result of our breaching these Terms or being negligent
  5. Ownership
    1. The intellectual property rights in websites and products are owned by Growth Street. Nothing in these Terms grants you any legal rights in the websites or products other than those necessary to enable you to access and/or use them.
The Loan Loss Provision we offer does not give you a right to a payment so you may not receive a pay-out even if you suffer loss. The fund has absolute discretion as to the amount that may be paid, including making no payment at all. Therefore, investors should not rely on possible pay-outs from the Loan Loss Provision when considering whether or how much to invest. You can read our Loan Loss Provision Policy here.
